Foreign companies entering Iraq: what comes before starting work?

When a foreign company decides to enter the Iraqi market, its attention usually turns to the business opportunity, the potential partner and the contract value. That is an understandable start, but one question deserves to come with it from day one: how will the company operate in Iraq from a legal standpoint?

The answer starts with the nature of the work itself. A company that sells equipment and supplies it from abroad differs from one that sends a team to install and maintain it inside Iraq. A company contracting for a specific service differs from one that wants to open an office and run an ongoing business. So the phrase “entering the Iraqi market” can describe very different situations, each with requirements that need to be studied.

Registering a branch of the foreign company may be a suitable option, or the business plan may call for establishing an Iraqi company with foreign participation, within the legal conditions governing the activity. The suitability of an option is not measured by the speed of registration alone, but by its ability to accommodate the company’s work, contracts and obligations. Iraqi law regulates both routes, through the regulation on branches of foreign companies and the Companies Law.
